1. Ownership and Shares

1.1. Digital Ownership

• Ownership of a horse share is strictly digital and exists only within the FreeRaceHorse.com platform.
• Users bear no financial or legal liability for the horse’s care, injuries, or damages caused by the horse
• No permits, licenses, or registrations are required for digital ownership.

1.2. Fractional Ownership

• Each share represents 1/100 of 1 percent (1/10,000th) ownership of a horse.
• This does not include any legal, physical, or racing-related rights to the horse.
• FreeRaceHorse.com reserves the right to change the fractional ownership structure in the future.

1.3. Stable Name & Racing Identity

• Horses will always race under the stable name chosen by FreeRaceHorse.com (e.g., FreeRaceHorse.com Stable or Exceed Equine).
• Users' names will never appear on race programs, results, or any official records.
• FreeRaceHorse.com reserves the right to change the stable name at any time.

1.4. Facility Access

• Digital ownership does not grant users physical access to the horse, stable, or any FreeRaceHorse.com facilities without prior written permission.
• Visits to horses or private meetings are not permitted. However, group events may be arranged through the platform at FreeRaceHorse.com’s discretion.

1.5. Transfers & Future Trading

• Shares are non-transferable outside of FreeRaceHorse.com.
• If a trading feature is introduced in the future, users may be allowed to transfer shares within the platform.
• FreeRaceHorse.com has full control over if, when, and how trading might be allowed.

2. Earnings and Payments

2.1. Race Earnings & Adjustments

Race Earnings Distribution

• Users earn money based on their 1/10,000 fractional ownership of a horse.
• Earnings are calculated after driver and trainer fees are deducted from the total winnings.
• All winnings will be credited to user accounts within 96 hours after the race results are marked official.

Race Result Adjustments

• If a horse’s earnings change after the initial payout (due to disqualifications, appeals, or race adjustments), FreeRaceHorse.com will adjust user balances accordingly.
• Example: If a horse finishes 2nd but later moves to 1st place due to another horse’s disqualification, additional winnings will be credited to user accounts.
• Conversely, if a horse is disqualified after results are published, previously credited earnings will be removed from user accounts.

2.2. Game Points

• Users earn points at a 1:1 ratio (e.g., $0.01 in winnings = 1 game point).
• Points currently have no real-world value but may be used for:
  • Digital gifts for horses and other items as they become available.
  • Additional voting rights
  • Potentially acquiring additional fractional ownership in the future
• If FreeRaceHorse.com closes or ceases operations, all points become worthless.

2.3. Payout Threshold & Methods

• Users can request payouts only after reaching a $5.00 minimum balance.
• Payouts may be delayed until FreeRaceHorse.com secures an affordable payment method.
• Payments will be processed only through approved methods (e.g., Zelle, PayPal).

3. What Happens If FreeRaceHorse.com Closes?

3.1. Business Closure Payout Policy

• If FreeRaceHorse.com shuts down, users with at least $5.00 in their account may request a final payout.
• Users have 120 days to request payouts. After that, funds are forfeited.

3.2. No Physical Ownership Rights

• Users waive all legal claims to physical ownership of any horses
• Any attempt to claim real-world ownership will result in immediate account termination.

4. Horse Retirement, Sales & Death

4.1. Retired or Sold Horses

• If a horse is sold, users will receive their proportional share of the sale price, minus a 20% commission.
• If a horse is retired due to injury, users receive $0.10 per share.
• If a horse is placed for adoption or sent to a sanctuary, no payout will be made since no revenue is generated.

4.2. Horse Death

• If a horse dies (colic, accident, euthanasia), users receive $0.10 per share (as long as they meet the $5 payout threshold).

5. Subscription Fees & Account Activity

5.1. Subscription Fees

• The first horse is free—users never pay fees for their first horse.
• Additional horses require a $2.50/month subscription fee per horse.
• Subscription fees are non-refundable.

5.2 Inactive Accounts & Horse Forfeiture

• Users must log in at least once every 90 days to keep their free horse, earnings, and points.
• If a user is inactive for 90 days:
  • The free horse is forfeited and reassigned.
  • All earnings and points are lost.
• This does NOT apply to users paying a monthly subscription.

5.3. Multi-Account Fraud Prevention

• Users may not create multiple accounts.
• If detected, all accounts will be terminated, and all horses, earnings, and points will be forfeited.
• No appeals will be allowed.

6. User Conduct & Platform Rules

6.1. Community Guidelines & Chat Rules

• Users may engage in live stream chats, but the following is prohibited:
  • Foul language, harassment, hate speech, or abuse
  • Promoting illegal activity
  • Spamming or disrupting discussions
• Users who violate chat rules may be muted, suspended, or banned.

6.2 FreeRaceHorse.com’s Right to Remove Users

• FreeRaceHorse.com reserves the right to remove any user at any time for any reason.
• Reasons for removal include:
  • Fraudulent behavior or multi-accounting
  • Publicly defaming the platform
  • Repeated rule violations
• Users removed for misconduct will not receive refunds or payouts.

7. Terms of Service Updates & Ownership Changes

• FreeRaceHorse.com reserves the right to update these Terms at any time.
• If FreeRaceHorse.com is sold, merged, or acquired, users retain their digital ownership under the new company.

8. Legal Disclaimers & Liability Limits

• FreeRaceHorse.com is not liable for technical issues, race delays, or external service failures.
• Users waive all legal claims regarding ownership disputes, race results, or financial loss.
• All legal disputes must be resolved through arbitration, not lawsuits.
